SENTIO VR END-USER LICENSE AGREEMENT
Introduction: Welcome to SENTIO VR, a virtual reality platform owned and operated by Solutionario Holdings, Inc. ("Solutionario" OR "Licensor"). Before using our platform, it is important to review and agree to the terms of our End User License Agreement (EULA). This EULA governs your use of SENTIO VR, including any updates or enhancements to the platform. By using SENTIO VR, you agree to be bound by the terms of this EULA.
By selecting "Agree," you are also declaring that you are an individual who is at least 18 years old and you have the full legal capacity to enter into this agreement.
FREE TRIAL: By selecting "Agree" and downloading the Software, you are eligible for a one-time free trial for a period of 14 days, or for the period of time specified by Licensor at the time you accept this Agreement ("Trial Term"), whichever is shorter. Each individual user is entitled to a single Trial Term of the Software, regardless of version or other changed functionality. During the Trial Term, all the terms and conditions of this Agreement apply, except for any provisions requiring the payment of fees and the scope of the license listed under "License Grant" set forth below. At the end of the Trial Term, unless you upgrade to a paid account prior to the expiration of the Trial Term, your rights to use the Software will terminate and you may lose access to any data you entered into the SENTIO VR platform and any organization of such data you made using SENTIO VR.
TRIAL LICENSE GRANT: During the Trial Term and subject to the terms and conditions of this Agreement, Licensor hereby grants you a limited, non-exclusive, non-transferable (except as otherwise provided herein), and non-sublicensable license to (1) evaluate the SENTIO VR platform on one (1) computer and one (1) 3 VR devices at a time, (2) use any accompanying documentation provided by Licensor, and (3) use the Services, solely for evaluation purposes and only with the specified hardware and systems. The license granted under this Agreement is solely for evaluation purposes and does not permit you to use SENTIO VR, Documentation, and Services for any commercial, professional, or for-profit purposes, including competitive analysis.
User Restrictions: If you are using Single User Licenses, such as SENTIO VR Lite, or SENTIO VR Advanced, you agree that the license granted herein is for a single individual associated with the user account. You are not allowed to share your user login credentials and limited license, and you acknowledge that the number of licenses purchased from Licensor corresponds to the number of actual users specified by Licensor at the time you accept this Agreement. Additionally, you agree not to permit more than one individual to use the platform under a single account.
Software” or “SENTIO VR Software” refers to the programs offered by Licensor, including any updates or modifications made by Licensor. at its sole discretion. The Software may automatically download and install upgrades, updates, or other new features. “Documentation” means any tutorials or other documentation made available by Licensor for use with the Software. Such Documentation may be published online or made available within the Software.
Hardware: It is your responsibility to obtain and provide the necessary hardware to use the SENTIO VR Software, and the Licensor is not obligated to provide any hardware or support services for hardware. Please note that SENTIO VR is not liable for the operation or compatibility of headsets, and any malfunction of the hardware to operate as needed by you or with the Software is solely your responsibility. Licensing Agreement: This Agreement represents a license agreement and not a sale agreement. You acknowledge and agree that all intellectual property rights, including but not limited to copyrights, patents, and trademarks, related to the SENTIO VR Software and Documentation, are owned or licensed by Licensor, and all rights not expressly granted in this Agreement are reserved by Licensor. This Agreement does not grant you any rights to use Licensor’s trademarks, service marks, trade names, or brand names. You acknowledge that you have no ownership or other proprietary interest in the Software or Documentation and that Licensor retains all rights, title, and interest in the Software and Documentation.
Content: You maintain ownership of and responsibility for any files, designs, models, images, or similar material or information submitted, transmitted, stored, or used in connection with the SENTIO VR Software, as well as any specific output generated by the Software based on the foregoing (collectively, "Content"). By creating, submitting, transmitting, posting, or otherwise making your Content available to SENTIO VR and/or others, you acknowledge and agree that you have sole responsibility for the accuracy, quality, integrity, legality, reliability, and appropriateness of your Content. You also acknowledge and agree to evaluate and bear all risks associated with your Content. SENTIO VR and/or its affiliates, agents, and licensors, and each of their respective officers, directors, and employees shall not be liable in any way for your Content as you transmit or otherwise use it, including but not limited to any errors or omissions.
Availability: While SENTIO VR will use commercially reasonable efforts to provide you with uninterrupted access to the Software and Services, SENTIO VR cannot guarantee that your Content, the Software, or the Services will be available or usable by you at all times during the Term or following the termination of your subscription. SENTIO VR understands that the security of your personal information and projects is paramount. We implement reasonable administrative, technical, and physical security controls to safeguard your personal information and data. However, like all companies, we cannot completely prevent all methods used to breach our security measures and those of our third-party providers, and we or our third-party providers may experience security breaches in which your Content, information, and data are improperly accessed, disclosed, or used.
Hardware & Credentials: SENTIO VR expects that you have all the required hardware, software, and internet access to utilize the Software. You are accountable for procuring and sustaining these items. Furthermore, it is your responsibility to safeguard any keys, certificates, passwords, access codes, user IDs, or other login information (collectively, "Credentials") that are provided to you or generated during your use of the Software. You are solely responsible for any and all activities that occur on the Software using your Credentials.
SUBSCRIPTION & BILLING:
Subscription Coverage: The subscription plan you choose in your online account will cover all licenses for computers and VR devices that you own, control, or otherwise indicate, and on which you download and use the SENTIO VR Software.
Subscription Continuity: Your SENTIO VR subscription, whether free or paid, will continue for the selected term (month-to-month for a monthly paid subscription or year-to-year for an annual paid subscription) unless you cancel it. To use a paid subscription, you must maintain Internet access and provide SENTIO VR with a valid Payment Method. SENTIO VR will bill your subscription fees to your Payment Method. You can manage your subscription by logging into your account and accessing the Billing module.
Billing Cycle: The subscription fee for SENTIO VR Software will be billed at the beginning of your paid subscription period and on the corresponding date each month or year thereafter (as applicable). SENTIO VR will automatically bill your Payment Method every period on the calendar day corresponding to the start of your paid subscription. In case of a failed payment, SENTIO VR may change the billing date. If your paid subscription started on a date that is not in a given month or year, SENTIO VR will bill your Payment Method on an alternative date in that month or year as deemed appropriate.
Refunds: It is your responsibility to manage your subscription, including canceling or downgrading it if necessary. Unless deemed appropriate by SENTIO VR, payments are non-refundable, and there are no refunds for partially used periods.
Payment Methods: Managing your Payment Method information is your responsibility, and you can do so by logging in to your account at www.app.sentiovr.com/login/ and navigating to the "Billing" section. If a payment fails due to reasons such as expiration or insufficient funds, and you fail to update your Payment Method information or cancel/downgrade your subscription, you will be held accountable for any outstanding amounts. SENTIO VR reserves the right to continue billing your Payment Method with the updated information in such cases."
TRAINING & SUPPORT
SENTIO VR will provide fundamental technical support services for its Software, which comprises email support and online calls. Furthermore, all users may avail themselves of updated software tutorials accessible on the official help page of SENTIO VR, located at https://help.sentiovr.com.

The SENTIO VR Software, Services, and Documentation are proprietary and contain valuable confidential information. Licensor may provide you with information that is proprietary or confidential, and you agree to keep it confidential and use it only as allowed during the Term. These obligations continue even after the Agreement ends unless the information is made publicly available by Licensor without restriction.
LIMITATION OF LIABILITY
Licensor will not be liable for any indirect, consequential, or special damages, including lost profits or data, loss of business, goodwill, or reputation. Licensor's total liability under this agreement will not exceed the amounts paid by you to Licensor. These limitations of liability are essential to the agreement and are fair and reasonable in consideration of the Software's terms.
This Agreement will become effective upon your acceptance and will continue until you cancel your subscription or until SENTIO VR terminates your access. If you were already using the Software before accepting this Agreement, it will be deemed to have started when you first used the Software.
SENTIO VR has the right to suspend, restrict, or terminate your access to the Software and Services immediately and without notice if you violate any of the terms of this Agreement or if you encourage or facilitate any violations of it. If SENTIO VR terminates this Agreement, you will no longer be able to use the Software, Services, or Documentation. However, any obligations that have accrued before termination will remain in effect. If you wish to cancel your subscription, please log in to your account and click on Billing. Upon cancellation, you will still have access to the Software and your Content for the remaining subscription term. Once the term ends, you will no longer be able to access your account or Content, and SENTIO VR may choose to retain or permanently delete your account information and Content.
Certain provisions of this Agreement will remain in effect even after its termination, such as limitations of liability.
Parties' Relationship: You and the Licensor are independent contractors, and this Agreement is only between you and the Licensor. No third party is involved in this Agreement.
